1. Acceptance of Terms
Welcome to BZZE Ads ("Platform," "Service," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("Publisher," "you," or "your") and BZZE Ads.
By creating an account, accessing, or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.
Important: These Terms include binding arbitration and class action waiver provisions. Please read Section 15 carefully.
2. Definitions
- "Platform" means the BZZE Ads rewarded video advertising platform, including the SDK, API, dashboard, and all related services.
- "Publisher" means any individual or entity that integrates our SDK to monetize their game or application.
- "SDK" means our Software Development Kit, including all code, documentation, and tools provided.
- "Content" means games, applications, websites, or other digital properties where our SDK is integrated.
- "End User" means individuals who view ads served through our Platform.
- "Ad Inventory" means available advertising space within Publisher Content.
- "Revenue Share" means the percentage of advertising revenue paid to Publishers (currently 80%).
3. Eligibility
To use our Platform, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Have the legal capacity to enter into binding contracts
- Provide accurate, current, and complete account information
- Comply with all applicable laws and regulations
- Not be located in a prohibited jurisdiction or subject to sanctions
- Own or have legal rights to the Content you monetize
By registering, you represent and warrant that you meet all eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
To access our Platform, you must create an account by providing:
- Valid email address
- Publisher name or company name
- Payment information (PayPal email)
- Content details (game/app information)
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using strong passwords and enabling two-factor authentication (when available)
4.3 Account Accuracy
You must:
- Provide accurate and truthful information
- Update information promptly when it changes
- Not create multiple accounts without our permission
- Not use false identities or impersonate others
5. Publisher Obligations
5.1 SDK Integration
When integrating our SDK, you must:
- Follow our integration documentation and best practices
- Use the latest stable version of our SDK
- Not modify, reverse engineer, or decompile the SDK
- Not circumvent or manipulate SDK functionality
- Implement proper error handling and user experience flows
5.2 Content Standards
Your Content must NOT contain or promote:
- Illegal activities, violence, or hate speech
- Adult content, pornography, or sexually explicit material
- Gambling (unless properly licensed)
- Malware, viruses, or harmful code
- Copyright or trademark infringement
- Misleading, fraudulent, or deceptive practices
- Harassment, bullying, or discrimination
- Drug use, tobacco, or excessive alcohol consumption
5.3 Compliance Requirements
You must comply with:
- All applicable laws, regulations, and industry standards
- GDPR (for EU users) and COPPA (for children's content)
- Platform-specific policies (Apple App Store, Google Play, etc.)
- Advertising standards and self-regulatory guidelines
- Data protection and privacy laws
5.4 User Consent and Privacy
You are responsible for:
- Obtaining proper user consent before showing ads
- Implementing our consent management features for GDPR/COPPA
- Providing clear privacy policies to your users
- Disclosing that you use third-party advertising
- Respecting user privacy choices and opt-outs
6. Prohibited Activities
You must NOT:
- Generate Invalid Traffic: Click on your own ads, encourage clicks, use bots, or engage in click fraud
- Manipulate Metrics: Artificially inflate impressions, completions, or other performance metrics
- Hide or Obscure Ads: Cover ads with overlays or make them invisible
- Force Ad Views: Require users to watch ads without proper opt-in or reward mechanisms
- Mislead Users: Misrepresent what ads are or trick users into viewing them
- Cache or Store Ads: Download, cache, or serve ads outside our Platform
- Modify Ad Content: Alter, edit, or filter ad creative or tracking pixels
- Compete with Us: Use our Platform to build a competing ad network
- Resell Access: Sublicense, resell, or redistribute our SDK or services
- Scrape or Extract Data: Use automated tools to extract data from our Platform
- Bypass Restrictions: Circumvent rate limits, security measures, or usage caps
- Reverse Engineer: Decompile, disassemble, or attempt to derive source code
7. Revenue and Payments
7.1 Revenue Share
Publishers earn 80% revenue share on all ad revenue generated through their Content. We retain 20% as our platform fee.
7.2 Payment Terms
- Payment Method: PayPal only (currently)
- Minimum Payout: $50 USD
- Payment Schedule: Monthly, processed between 1st-15th of each month
- Payment Currency: USD (conversions at prevailing exchange rates)
- Rollover: Earnings below minimum threshold roll over to next month
7.3 Payment Accuracy
You are responsible for:
- Providing valid and accurate payment information
- Keeping payment details up to date
- Paying applicable taxes on your earnings
- Notifying us of payment issues within 30 days
7.4 Withheld Payments
We may withhold or deduct payments if:
- Your account is under review for policy violations
- We detect invalid traffic or fraud
- You violate these Terms
- We receive chargebacks or refund requests from advertisers
- Required by law or legal process
7.5 Payment Processing Fees
We do NOT charge payment processing fees. However, PayPal may charge fees on their end.
7.6 Tax Compliance
You are solely responsible for:
- Reporting your earnings to tax authorities
- Paying all applicable income, sales, VAT, or other taxes
- Providing tax documentation upon request (W-9, W-8BEN, etc.)
8. Intellectual Property Rights
8.1 Our IP
We retain all rights to:
- The BZZE Ads Platform, SDK, API, and dashboard
- Our trademarks, logos, and brand assets
- All technology, algorithms, and proprietary systems
- Documentation, guides, and educational content
These Terms grant you a limited, non-exclusive, non-transferable license to use our Platform solely for monetization purposes.
8.2 Your IP
You retain all rights to your Content. By using our Platform, you grant us a limited license to:
- Serve ads within your Content
- Use your app name and logo in our publisher directory (with permission)
- Analyze performance data from your Content
- Provide our services to you
8.3 Trademark Usage
You may not use our trademarks without written permission. If granted permission, you must:
- Follow our brand guidelines
- Use only approved logos and assets
- Not suggest partnership or endorsement without agreement
8.4 Copyright Infringement
If you believe your copyright has been infringed, contact us at dmca@bzze.com with:
- Description of the copyrighted work
- Location of the infringing material
- Your contact information
- Statement of good faith belief
- Statement of accuracy under penalty of perjury
- Physical or electronic signature
9. Data and Privacy
Our collection and use of data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
9.1 Publisher Data
You grant us the right to:
- Collect and analyze performance data from your Content
- Use aggregated, anonymized data for analytics and improvements
- Share performance metrics with advertisers (non-identifying)
9.2 End User Data
You represent that you have obtained all necessary rights and consents to:
- Allow our SDK to collect end user data
- Share end user data with us and our advertising partners
- Comply with GDPR, COPPA, and other privacy laws
10. Platform Modifications and Availability
10.1 Service Changes
We reserve the right to:
- Modify, update, or discontinue features at any time
- Change our revenue share structure with 30 days notice
- Update SDK versions and require upgrades
- Add, remove, or modify ad formats
10.2 Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for:
- Planned maintenance and updates
- Service outages or technical issues
- Third-party service disruptions
- Force majeure events
11. Account Suspension and Termination
11.1 Termination by You
You may terminate your account at any time by:
- Contacting support at support@bzze.com
- Removing our SDK from all your Content
- Requesting account closure through your dashboard
Outstanding payments (above minimum threshold) will be processed within 60 days of termination.
11.2 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms
- We detect fraudulent activity or invalid traffic
- Your Content violates our policies
- You fail to comply with legal requirements
- Your account is inactive for 12+ months
- We cease operations (with 30 days notice)
11.3 Effect of Termination
Upon termination:
- Your access to the Platform will be revoked
- You must remove our SDK from all Content within 7 days
- Outstanding payments (if any) will be processed or forfeited based on reason for termination
- Your data will be deleted per our Privacy Policy (subject to legal retention)
11.4 Survival
The following provisions survive termination: Sections 6, 8, 12, 13, 14, 15, and 16.
12. Disclaimers and Warranties
Important Legal Notice:
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Merchantability: Fitness for a particular purpose
- Non-Infringement: Freedom from IP violations
- Accuracy: Correctness of data, metrics, or earnings
- Availability: Uninterrupted or error-free service
- Security: Protection from hacks or data breaches
- Fill Rates: Guaranteed ad availability or revenue
We do not warrant that:
- The Platform will meet your requirements or expectations
- Service will be timely, secure, or error-free
- Results or earnings will be accurate or reliable
- Defects will be corrected
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR USE.
13.1 Exclusions
We are not liable for:
- Loss of revenue, profits, or business opportunities
- Loss of data or content
- Service interruptions or downtime
- Errors in reporting or analytics
- Third-party actions (advertisers, SSPs, etc.)
- End user claims or disputes
- Security breaches or data leaks
- Compliance with laws in your jurisdiction
13.2 Maximum Liability
Our total liability to you for any claim shall not exceed the greater of:
- $500 USD, or
- The amount you earned from our Platform in the 3 months prior to the claim
13.3 Basis of the Bargain
These limitations are fundamental to our agreement. Without them, we could not provide the Platform at our current revenue share.
14. Indemnification
You agree to indemnify, defend, and hold harmless BZZE Ads, our affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:
- Your violation of these Terms
- Your Content or use of the Platform
- Your violation of any laws or regulations
- Your violation of third-party rights (IP, privacy, etc.)
- Invalid traffic or fraudulent activity from your Content
- End user claims related to your Content
- Your failure to obtain proper consents or comply with GDPR/COPPA
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
15. Dispute Resolution and Arbitration
15.1 Informal Resolution
Before filing a claim, you agree to contact us at legal@bzze.com and attempt to resolve the dispute informally for at least 30 days.
15.2 Binding Arbitration
If informal resolution fails, any dispute shall be resolved by binding arbitration rather than in court, except:
- Small claims court actions (under $10,000)
- Intellectual property disputes
- Injunctive relief for Terms violations
15.3 Arbitration Rules
- Administrator: American Arbitration Association (AAA)
- Rules: AAA Commercial Arbitration Rules
- Location: San Francisco, California, USA (or remote)
- Language: English
- Costs: Each party bears their own costs (we pay AAA fees if you can't afford them)
15.4 Class Action Waiver
YOU AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.
All disputes must be brought individually, not as part of a class or collective action.
15.5 Jury Trial Waiver
You waive your right to a jury trial for any disputes that are not arbitrated.
16. General Provisions
16.1 Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.
16.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and BZZE Ads.
16.3 Severability
If any provision is found unenforceable, the remaining provisions remain in full force.
16.4 No Waiver
Our failure to enforce any provision does not waive our right to enforce it later.
16.5 Assignment
You may not assign these Terms without our consent. We may assign these Terms to any successor or affiliate.
16.6 Force Majeure
We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, wars, pandemics, internet outages, etc.).
16.7 Relationship
These Terms do not create a partnership, joint venture, employment, or agency relationship.
16.8 Notices
Legal notices must be sent to legal@bzze.com. We may provide notices via email or dashboard notifications.
16.9 Export Compliance
You agree to comply with all export control laws and not export or re-export our SDK to prohibited countries or individuals.
16.10 Modifications to Terms
We may modify these Terms at any time. Changes will be posted with a new "Last Updated" date. Material changes will be communicated via email. Continued use after changes constitutes acceptance.
